1.Definitions
- SocraNext
- the private limited company that provides the Service.
- Service
- the (cloud) platform and plugin of SocraNext that automatically generates content and publishes it on the Customer's WordPress website.
- Plugin
- the WordPress plugin of SocraNext that forms the connection with the platform.
- Customer
- the business customer that purchases the Service.
- Content
- content supplied by or on behalf of Customer and output generated by the Service (texts, metadata, FAQ's, blog articles etc.).
- Account
- the access to the Service created by Customer.
- Sub-processor
- a third party engaged by SocraNext for (part of) the processing of personal data.
2.Applicability and order of precedence
2.1 These Terms and Conditions (T&Cs) apply to every offer by SocraNext and to every agreement under which SocraNext provides the Service.
2.2 Deviations are only binding if agreed in writing.
2.3 Order of precedence in case of conflict: (i) DPA, (ii) master agreement or order confirmation, (iii) these T&Cs, (iv) Appendices.
2.4 The Service is intended exclusively for business customers (B2B). Individuals and consumers should not use the Service. If a consumer nevertheless signs up, consumer law (including withdrawal rights) does not apply and SocraNext may refuse or terminate the agreement.
3.Service description
3.1 The core of the Service is (semi-)automatic creation and publication of Content on Customer's site via the Plugin, based on preferences set by Customer and data supplied.
3.2 Customer can configure settings, including Topics and tone of voice. Content generation frequency is determined by the chosen subscription. Before generating blog / AI findability articles, Customer receives an email notification with the schedule and a preview link.
3.3 Customer can adjust scheduled articles before the planned publication moment (content and/or schedule). The Service has no pre-publish / approval function and does not wait for explicit permission.
3.4 SocraNext may change the Service or add/remove functionality to improve performance, security or compliance. SocraNext will announce material changes in good time.
4.Subscription, prices and payment
4.1 Subscriptions have a monthly term, are invoiced monthly in advance, and renew tacitly each month.
4.2 Unless stated otherwise, all prices are exclusive of VAT and other levies.
4.3 Payment is via Stripe, the payment service provider designated by SocraNext (including direct debit/credit card). On failed payment SocraNext may suspend the Service until full payment.
4.4 SocraNext may change prices with 30 days' notice. Disagree? Customer may terminate as of the effective date.
4.5 Upgrades and downgrades take effect in the next billing period; any additional costs are settled pro rata. Amounts already paid are not refunded.
5.Accounts, access and security
5.1 Customer is responsible for secure management of accounts, credentials and rights in WordPress and the Service.
5.2 During Plugin installation a WordPress user with admin rights is created automatically. This user will only be used to manage SocraNext content when needed. A SocraNext employee may use it for support; access is logged.
5.3 SocraNext takes appropriate technical and organisational security measures; Customer ensures an up-to-date, compatible and well-managed WordPress environment.
6.Customer obligations
6.1 Customer ensures correct installation/activation of the Plugin and for substantive input.
6.2 Customer warrants that materials supplied do not infringe third-party rights and complies with the AUP.
6.3 Final responsibility: Customer remains finally responsible for content on their website. Customer reviews and manages published Content (edit/delete where needed).
7.Automatic publications and results
7.1 By using the Service, Customer consents to (semi-)automatic publication of Content on Customer's website.
7.2 Content is provided “as is”. SocraNext does not perform editorial final review before publication.
7.3 SocraNext gives no guarantee of (AI/search engine) mentions, rankings, leads or revenue; results depend on factors outside SocraNext's control.
7.4 Specifically for blog / AI findability articles: Customer receives an email notification with scheduled pieces before publication. Customer can adjust these scheduled articles before publication. The Service publishes without prior explicit permission; there is no pre-publish / approval function.
7.5 Customer responsibility for AI output. Customer is fully responsible for the accuracy, legality and suitability of AI-generated and (automatically) published Content. SocraNext is not liable for inaccuracies, incompleteness or (legal) consequences of such publications; Customer indemnifies SocraNext against third-party claims arising therefrom.
8.Maintenance, availability and support
8.1 SocraNext delivers the Service on a best-effort basis. There are no guaranteed response times, resolution times or availability levels (no SLA), unless otherwise agreed in writing.
8.2 Planned maintenance may cause temporary unavailability; SocraNext aims to announce this in good time.
8.3 Support is limited to the Service and the Plugin. Issues caused by third parties (themes/plugins/hosting) are out of scope; support may then be provided on a time-and-materials basis.
9.Acceptable Use (summary)
9.1 Customer will not use the Service for: unlawful content; IP or privacy infringement; discrimination/hate/defamation; malware; security breaches; spam; scraping/resource abuse; reverse engineering; or other acts that harm the Service or third parties.
9.2 On (suspected) breach SocraNext may remove Content, (partially) suspend access and/or terminate the agreement.

10.Privacy & data protection
10.1 Where SocraNext processes personal data on behalf of Customer, Customer is controller and SocraNext is processor under the GDPR.
10.2 These Terms and Conditions also include the Data Processing Agreement (DPA) as set out in the appendices at the bottom of this page. By taking out a subscription Customer automatically agrees to this DPA. The DPA covers among other things: processing purposes, categories, (sub-)processors, appropriate security, breach notifications, assistance with data subject rights, international transfers, retention periods and deletion/return after termination.
10.3 SocraNext may engage Sub-processors and will make a current list available; Customer may object in writing on reasonable grounds.
10.4 Improvement data: SocraNext may use aggregated and anonymised usage data of the Service for statistics and improvement. Use of Customer content for model training only takes place within the bounds of the DPA and, where legally required, with opt-in/opt-out.
11.Intellectual property
11.1 All IP rights in the Service, the Plugin and underlying software/components belong to SocraNext or its licensors.
11.2 Customer obtains a non-exclusive, non-transferable licence to use the Service and Plugin for the duration of the agreement.
11.3 Output: To the extent legally permitted, Customer is rights holder of Content generated by the Service for use on Customer's own channels. SocraNext retains the limited rights needed to provide the Service (generate, process, store and publish on behalf of Customer).
12.Third-party services and integrations
12.1 The Service may use third-party services (such as hosting, WordPress and AI model providers). Availability and functionality partly depend on these third parties.
12.2 SocraNext may switch suppliers and third-party terms may apply where relevant; Customer agrees to this. SocraNext is not liable for third-party shortcomings.
13.Liability and indemnification
13.1 SocraNext is not liable for damage arising from (automatic) publications on Customer's website or channels, for data loss, or for unintended (temporary) outage or damage to Customer's website. Nor is SocraNext liable for indirect/consequential damage (including lost profit, lost revenue, data loss or third-party claims).
13.2 If, despite the foregoing, liability exists, it is limited to the total subscription fees paid by Customer in the three (3) months preceding the damaging incident (or, if lower, the amount paid out by the insurer).
13.3 Exclusions and limitations do not apply in case of intent or wilful recklessness by SocraNext's management.
13.4 Customer indemnifies SocraNext against third-party claims in connection with (i) materials supplied by Customer, (ii) use of the Service contrary to these T&Cs, the AUP or applicable law, and (iii) publications on Customer's website.
14.Termination, suspension and offboarding
14.1 Customer may terminate the subscription monthly as of the end of the current billing period.
14.2 SocraNext may (partially) suspend the Service or terminate the agreement on material breach (including non-payment, AUP breach, security risks or unlawful use).
14.3 After termination, access to the Service ends. SocraNext deletes personal data in accordance with the DPA and reasonable retention periods.
14.4 Blogs remain. On termination, blog / AI findability articles placed by the Service remain on Customer's website (unless Customer edits or deletes them).
14.5 FAQ is removed. FAQ sections generated by the Service on pages are automatically removed by the Plugin after termination.
15.Publicity
Unless Customer objects in writing in advance, SocraNext may use Customer's (trade) name and logo as a reference (online/offline). Further case studies, quotes or logo uses outside reference lists require prior permission.
16.Force majeure
Neither party is obliged to perform in case of force majeure, including among other things: internet/telecom outages, hosting or model provider failure, DDoS, government measures, epidemics, war, strikes, power outages and other events beyond reasonable control. Obligations are suspended for as long as the force majeure continues.
17.Governing law and forum
Dutch law applies exclusively. Disputes are submitted to the competent court in the district of SocraNext's registered office, unless mandatory law provides otherwise. Parties first attempt to resolve disputes amicably.
18.Final provisions
18.1 Changes to T&Cs: SocraNext may change these T&Cs with prior notice with a reasonable period and stating the effective date. Disagree? Customer may terminate the agreement as of the effective date.
18.2 Severability: Invalidity or unenforceability of a provision does not affect the validity of the remaining provisions; a replacement provision will match the intent as closely as possible.
18.3 Entire agreement: these T&Cs, the DPA and any additional agreements together form the entire agreement between the parties regarding the Service and replace prior statements.
18.4 Notices: notices are given via the account, email or other channels designated by SocraNext.
