SocraNext

the private limited company that offers the affiliate programme and provides the Service to Customers.

Affiliate

the natural person or legal entity admitted to the affiliate programme.

Link

the unique referral link that SocraNext issues to the Affiliate.

Referral

a website that became a SocraNext customer via the Affiliate’s Link and for which commission may be due.

Customer

the business purchaser of the SocraNext Service.

2.1 These Affiliate terms apply to participation in the SocraNext affiliate programme.

2.2 Participation is personal and only starts after written or electronic approval by SocraNext. SocraNext may refuse an application without stating reasons.

2.3 If these Affiliate terms conflict with a written affiliate agreement, that written agreement prevails.

2.4 The affiliate programme is a referral channel. The Affiliate shares the Link. Customers stay with SocraNext. The Affiliate does not manage Customers and does not invoice them. That differs from the partner programme.

3.1 Commission is lifetime recurring on the list price of the active Referral, for as long as that Referral holds a paying SocraNext subscription.

3.2 The percentage depends on the Affiliate’s number of active Referrals:

• 15% for 1 to 10 active Referrals
• 20% for 11 to 50 active Referrals
• 25% for 51 to 100 active Referrals
• 35% for more than 100 active Referrals

3.3 The current percentage applies to the Affiliate’s entire portfolio of active Referrals.

3.4 Affiliate commission and partner kickback cannot be combined on the same Customer or website.

4.1 Attribution is last-click. The Link sets a cookie with a validity of ninety (90) days.

4.2 Commission arises on the Referral’s first successful paid invoice after any trial.

4.3 Self-referrals do not count. The Affiliate may not sign up themselves, a related party or an existing SocraNext Customer via their own Link. No commission is due on those sign-ups.

5.1 Payouts are made monthly via self-billing, after a holding period.

5.2 Individuals receive the commission amount without VAT.

5.3 VAT-registered businesses may receive 21% VAT, which they remit themselves. SocraNext books that VAT as input tax.

5.4 SocraNext does not withhold payroll tax. The Affiliate is responsible for the tax treatment of the commission.

6.1 By participating, the Affiliate authorises SocraNext to issue credit notes or self-billing documents in the Affiliate’s name for commission payouts.

7.1 The Affiliate may promote SocraNext through reviews, tutorials, newsletters, social media and communities, among other channels.

7.2 In every communication the Affiliate must clearly disclose that they are an affiliate.

7.3 The Affiliate may not place paid search ads on the SocraNext brand name or similar spellings (brand bidding).

7.4 Promotion via coupon, discount or deal sites is not permitted.

7.5 Misleading claims and unsolicited spam are not permitted.

7.6 The Affiliate may not use the SocraNext brand name in a domain name or social-media handle.

8.1 SocraNext may terminate the Affiliate’s participation with immediate effect in case of fraud or breach of these Affiliate terms.

8.2 Outstanding commissions approved by SocraNext are paid out on the regular schedule, unless fraud is involved.
